Gr8Grades - Terms and Conditions

1. Acceptance of Terms
By accessing or using the Gr8Grades website (gr8grades.com), Kajabi platform (kajabi.com), and any associated services, content, or software (collectively, the "Platform"), you ("User" or "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.
2. Description of Services
Gr8Grades provides online coaching, resources, and community forums for high school students (Grades 8-12) and potentially other curricula as specified on the Platform. The services may include video lessons, downloadable materials, interactive forums, live support sessions, and other educational content (collectively, the "Services").
3. User Accounts
3.1. To access certain features of the Platform, you may be required to create a user account. You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account.
3.2. You agree to provide accurate and complete information when creating your account and to update your information as necessary.
3.3. You must be at least 13 years old to create an account and use the Platform. If you are under 18, you represent that you have your parent's or guardian's permission to use the Platform and agree to these Terms on their behalf.
3.4. Gr8Grades reserves the right to suspend or terminate your account at any time for any reason, including but not limited to a violation of these Terms.
4. Subscription and Payment
4.1. Access to certain Services may require a subscription. Subscription fees and payment terms are as outlined on the Platform at the time of purchase.
4.2. Payments are processed through CheckoutJoy/Payfast or other payment processors as indicated. You agree to abide by their terms and conditions as well.
4.3. Subscription fees are generally non-refundable except as expressly stated in our Refund Policy (if applicable and linked separately).
4.4. For recurring subscriptions, your subscription will automatically renew at the specified intervals unless you cancel it before the renewal date. Instructions for cancellation will be provided on the Platform.
4.5. Gr8Grades reserves the right to change subscription fees at any time, with reasonable notice provided to users.
5. User Conduct and Content
5.1. You agree to use the Platform and Services in a lawful and respectful manner. You are solely responsible for any content you post, transmit, or otherwise make available on the Platform, including in the Mathchat forum ("User Content").
5.2. You agree not to:
* Post or transmit any User Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
* Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
* Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform or Services.
* Attempt to gain unauthorized access to any portion of the Platform or any other accounts, computer systems, or networks connected to the Platform.
* Use any robot, spider, scraper, or other automated means to access the Platform for any purpose without our express written permission.
* Upload or transmit any viruses, worms, or other malicious code.
* Violate any applicable laws or regulations.
5.3. Gr8Grades has the right, but not the obligation, to monitor, remove, or edit User Content that we believe violates these Terms.
6. Intellectual Property
6.1. The Platform and its original content, features, and functionality (including but not limited to text, graphics, logos, images, video lessons, worksheets, Mathchat™ content and software) are owned by Gr8Grades and are protected by copyright, trademark, and other intellectual property laws.
6.2. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform and Services for your personal, educational purposes only, in accordance with these Terms.
6.3. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as explicitly permitted by Gr8Grades in writing.
7. Disclaimer of Warranties
THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. GR8GRADES DOES NOT WARRANT THAT THE PLATFORM OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GR8GRADES, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF GR8GRADES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL GR8GRADES' TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM OR SERVICES EXCEED THE AMOUNT YOU PAID TO GR8GRADES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.
9. Indemnification
You agree to indemnify, defend, and hold harmless Gr8Grades, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform or Services, including your User Content.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising out of or relating to these Terms or the Platform or Services shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.
11. Changes to These Terms
Gr8Grades reserves the right to modify or revise these Terms at any time, with or without notice to you. The updated Terms will be posted on the Platform, and your continued use of the Platform after the posting of any changes constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically.
12. Entire Agreement
These Terms constitute the entire agreement between you and Gr8Grades regarding your use of the Platform and Services and supersede all prior and contemporaneous agreements and understandings, whether oral or written.
